Resonac Transfers Exhaust Gas Abatement Equipment Business in Japan and Taiwan

Resonac Corporation (President: Hidehito Takahashi; hereinafter referred to as "Resonac") has reached an agreement with Taiyo Nippon Sanso Corporation (President: Kenji Nagata; hereinafter referred to as "Taiyo Nippon Sanso") for the transfer of the Resonac Group’s exhaust gas abatement equipment business (hereinafter referred to as "the Business") operated in Japan and Taiwan. On December 24, 2024, Resonac entered into contracts for (i) the absorption-type company split of the Business to its wholly-owned subsidiary, Clean-S Showa Co., Ltd. (hereinafter referred to as "the Target Company"), followed by the transfer of all issued shares in the Target Company to Taiyo Nippon Sanso, and (ii) the transfer of the Business from Resonac’s subsidiary, Resonac Specialty Gas Taiwan Co., Ltd., to Taiyo Nippon Sanso's subsidiary, Taiyo Nippon Sanso Engineering Taiwan, Inc.
Resonac began the development and sale of exhaust gas abatement equipment in 1985, being the first in the industry during the era of Showa Denko K.K. (hereinafter referred to as "SDK"). SDK has supplied exhaust gas abatement equipment that safely and cleanly discharges harmful acidic gases generated during the dry etching process in semiconductor manufacturing, as well as PFC gases (perfluorocarbon gases) that cause global warming, in response to customer needs.
As stated in the "Long-term Vision for Newly Integrated Company (2021-2030)," the Resonac Group aims to contribute to a sustainable society as a world-class functional chemical manufacturer. To achieve this, we continually pursue sustainable growth by reviewing our business portfolio.
Based on this vision, we carefully considered all options regarding the future of the Business while contemplating optimal resource allocation and business portfolio management.
In the past, our exhaust gas abatement equipment led market trends. However, due to changes in the external environment including changes in customer demands and the entry of new competitors, we determined that expanding the Business under Taiyo Nippon Sanso, a major industrial gas manufacturer also engaged in this business, would be optimal for our customers and stakeholders. Consequently, we decided to proceed with this transaction (hereinafter referred to as "the Transaction") based on the agreements mentioned above. We are confident that Taiyo Nippon Sanso, with its proven track record in the manufacturing and selling of exhaust gas abatement equipment, will actively and strategically promote this Business, leading to further growth and enhanced competitiveness.
The Transaction is conditional upon the fulfillment of the prerequisites stipulated in the contracts, with completion anticipated in June 2025.
Furthermore, we expect the impact of this Transaction on Resonac's performance to be insignificant.
