Changes in Corporate Management

Resonac Holdings Corporation (President: Hidehito Takahashi, hereinafter “REH”) decided at its Board of Directors’ Meeting today on changes in corporate management (Board Directors) as given below.　

Kohei Morikawa (Board Director, Chairman of the Board) will resign as Chairman of the Board and will be elected as Chairman of the Board of Directors’ Meeting at the Board of Directors’ Meeting which is to be held after the General Meeting of Shareholders in late March 2025.　

Kozo Isshiki (Outside Board Director) will resign as Outside Board Director at the General Meeting of Shareholders in late March 2025. Noriko Morikawa will also resign as Outside Board Director at the General Meeting of Shareholders in late March 2025.　

Meanwhile, Masaru Onishi (Independent Outside Director, TEIJIN LIMITED; Outside Director, Mitsui O.S.K. Lines, Ltd.; Outside Director, Kadoya Sesame Mills Incorporated) will be elected as Outside Board Director at the General Meeting of Shareholders in late March 2025. Izumi Sakakibara (former Executive Director, FUJIFILM Toyama Chemical Co., Ltd.; current Senior Manager, Business Development, Pharmaceutical Products Div., FUJIFILM Corporation) will also be elected as Outside Board Director at the General Meeting of Shareholders in late March 2025.　

As of late March 2025, the Board of Directors will consist of Hidehito Takahashi (Representative Board Director; President and CEO); Kohei Morikawa (Board Director, Chairman of the Board of Directors’ Meeting); Hideki Somemiya (Board Director); Tomomitsu Maoka (Board Director); Nori Imai (Board Director); Tetsuo Tsuneishi (Outside Board Director); Kenji Yasukawa (Outside Board Director); Masaru Onishi (Outside Board Director [newly elected]); Izumi Sakakibara (Outside Board Director [newly elected]). In addition, Toshiharu Kato and Mitsuo Katayose will continue serving as Audit & Supervisory Board Members, while Masako Yajima, Yasuyuki Miyasaka, and Kiyoko Toda will continue serving as Outside Members of Audit & Supervisory Board.
