Announcement of the Transfer of ISOLITE GmbH, a Thermal Insulation Manufacturer in Germany

Showa Denko Materials Co., Ltd. (President: Hidehito Takahashi) announces the conclusion of a share transfer contract with CERTINA Automotive Products AG and its related company (hereinafter “CERTINA GROUP”), based in Germany, to transfer its subsidiary ISOLITE GmbH (hereinafter “ISOLITE”), a manufacturer/distributor of thermal insulations for automobiles, aircraft, and other industrial applications, and its group companies to CERTINA GROUP.

Showa Denko Materials added ISOLITE to its Group in 2017 to expand the sales of thermal insulations for automobiles, aircraft, and other industrial applications in Japan and Europe, while developing insulation components able to meet market needs such as low fuel consumption, thereby offering products for thermal management of automobile engines, exhaust system parts, and other applications.
In January 2023, Showa Denko Materials and Showa Denko are scheduled to integrate and operate under the new name Resonac.※1 Showa Denko Materials attaches great importance to achieving sustainable growth by continuously reviewing its portfolio with more focus on discipline and optimally allocating its management resources, with the aim of becoming “a global top-class functional chemical manufacturer from Japan.” In light of these developments, Showa Denko Materials concluded that the surest way to expand ISOLITE’s business was its transfer to CERTINA Group, which boasts expertise and management resources with extensive track records in manufacturing industries including automotive parts business amongst others.

The impact of the transfer of ISOLITE on Showa Denko Materials’ performance is expected to be minor.
